Terms of Service
Effective 2026-08-19 · expertovod.com
AI-assisted IT support with expert-validated fixes, for businesses. These are our pilot-phase terms: written plainly, with the locked commercial facts stated exactly as sold.
1. Who these terms are between
These terms govern use of the ExpertoVod service (expertovod.com) by the client organization named in the applicable order. ExpertoVod is a product of ITWILLROCK Sp. z o.o., a Polish limited company, which operates the service and is your contracting party. The service is offered to businesses only — it is not a consumer service.
Billing is by invoice from ITWILLROCK Sp. z o.o., payable by bank transfer to the account stated on the invoice. During the pilot, every engagement starts with a conversation — the contact form or support@expertovod.com — and is confirmed in a written order before anything is billed; online card checkout is not currently offered.
Experts who validate work through the platform are ExpertoVod's independent contractors. No contractual relationship forms between you and any individual expert.
2. The service
ExpertoVod provides AI-assisted IT support for designated software projects: request intake, triage, proposed fixes, validation of proposals by vetted external experts through sanitized asks, and operator-approved responses. The platform holds your project's knowledge; experts never receive your identity, code, credentials, or system access by design.
Onboarding readiness gates (G0–G4) precede activation. The per-project Maturity Statement, issued at onboarding, discloses recorded limitations of what the platform knows about your project and forms part of the service description.
3. Plans and pricing
- Care Plans: Essential $1,500 / Standard $4,000 / Priority $9,000 per month, including 18 / 45 / 100 validation gates monthly with coverage windows 9×5 / 12×5 / 24×5.
- À-la-carte validation gates: P1 diagnosis $60, P2 code-fix validation $95, P3 deep-dive $240. In-plan overage is billed à-la-carte minus 10% / 15% / 20% by plan tier.
- Urgency multipliers on price and turnaround: ×1.5 (urgent), ×2.0 (critical).
- One-time onboarding $1,500, credited back at $500 per month over the first three plan months. A $50 surcharge applies to P2 gates requiring scarce-stack principal expertise.
Unused included gates expire monthly and do not roll over. A request returned to you for missing information (a bounce) is a completed, billable cycle; a bounce caused by a platform compilation failure is not billed.
Subscriptions bill monthly in advance; overage and à-la-carte gates bill in arrears. Prices are exclusive of applicable taxes; each invoice states the tax treatment that applies — for EU business customers this is the VAT reverse charge.
4. Service levels
Committed availability for the client portal and intake channels: 99.5% monthly, excluding scheduled maintenance, client-caused incidents, force majeure, and upstream provider outages. Service credits are the sole remedy for availability misses.
Response service levels by plan: Essential 8 business hours (9×5), Standard 4 hours (12×5), Priority 1 hour (24×5). A bounce completes the current response cycle; your reply re-anchors the clock.
5. Your obligations
- Provide accurate project knowledge and timely answers to bounce questions.
- Warrant that you have the rights to all supplied materials and grant us the license needed to process them for service delivery.
- Do not supply unlawful, infringing, or malicious material; do not attempt to identify or directly engage experts; do not probe or abuse the platform.
- Do not supply production credentials, or personal data beyond what the service requires; regulated content uses pointer or redacted-derivative intake modes.
Deliverables are proposals and validations. You are responsible for reviewing, testing, backing up, and deploying any change in your own environment.
6. Confidentiality and security
Each party keeps the other's confidential information confidential — your project materials on our side, our platform methods on yours — surviving termination. Experts are bound by contractor confidentiality terms.
The platform is designed and code-enforced (a deterministic redaction guard) to prevent expert packets from carrying your identity, code, credentials, or raw personal data. A guard failure blocks the send and alerts the operator. This is a designed control, described honestly, not an absolute warranty.
Where you and ExpertoVod record mutual agreement, a named expert may receive defined, revocable access beyond sanitized packets under a separate access-grant addendum.
We will notify you without undue delay of any confirmed security incident materially affecting your confidential information. Personal-data breaches are handled per the data processing agreement.
7. Disputes and remedies
You may dispute a delivered resolution within 7 days of delivery. The remedy ladder, in order: re-run at no charge, then service credit, then refund of the fee at issue. See the Refund Policy for the full procedure.
8. Intellectual property
Your materials remain yours. For delivered content (responses and fix proposals), ExpertoVod grants you a perpetual, irrevocable license to use it for your business. Platform methods, templates, pipeline, and non-client-specific learnings remain ExpertoVod's. Client-specific knowledge-base content is deleted or returned on offboarding.
9. Warranties and liability
The service is provided with skill and care. Validated verdicts are professional judgment rendered under stated confidence — not a guarantee of correctness. Implied warranties are disclaimed to the extent permitted by law; the Maturity Statement is the per-project disclosure of known limitations.
Each party's aggregate liability is capped at the fees paid for the service in the trailing 12 months. Neither party is liable for indirect or consequential damages. Statutory liabilities that cannot be limited are not limited.
10. Term and termination
Monthly term, auto-renewing. Either party may terminate with 30 days' notice to the end of a billing period — no lock-in. We may suspend service for non-payment more than 14 days past due, acceptable-use breach, or a genuine security risk, with notice and reinstatement on cure. Either party may terminate for material breach uncured after 30 days' notice, or immediately on the other's insolvency.
On offboarding, stored client materials are deleted or returned within 30 days; pointer access is revoked immediately. The append-only audit record of service events is retained as described in the Privacy Policy.
During the pilot phase, the service is under active development and both parties additionally hold a mutual early-exit right on 14 days' notice.
11. Changes
We may change the service or these terms on 30 days' notice, effective from your next billing period; price changes take effect at your next renewal. If you do not accept a change, your remedy is termination per the section above.
12. General
Neither party names the other publicly without consent. You agree not to solicit or directly engage experts identified through the platform for 12 months.
